1. Introduction

These Terms of Service ("Terms") govern your access to and use of the prodbyries online store and all digital products purchased through it. By purchasing or downloading any product from our store, you agree to be bound by these Terms in full.

If you do not agree to these Terms, do not purchase or use our products.

2. Products and Delivery

All products sold by prodbyries are digital audio files (soundkits, sample packs, loops, one-shots, MIDI files, and related audio content). No physical goods are sold.

Upon successful payment, you will receive access to your purchased files via an instant download link provided by Payhip and/or a confirmation email. It is your responsibility to download and save your files promptly. We cannot guarantee the permanent availability of download links provided by third-party platforms.

3. License Grant

3.1 What You Receive

All products sold by prodbyries are licensed, not sold. Purchasing a product grants you a non-exclusive, non-transferable, revocable license to use the included audio content in your own music productions and commercial musical works, subject to the restrictions set out in Section 4.

3.2 Permitted Uses

Under this license, you may:

Use the sounds, loops, one-shots, MIDI files, and other audio content included in the product in your own original music compositions and recordings;
Distribute, sell, stream, sync, or otherwise commercialise music you have created using the licensed content, provided the sounds are used as elements within a finished musical work and are not the primary product being sold;
Use the licensed content in client work, sync licenses, or commercial placements.

No additional clearance, royalty, or fee is required for these uses.

4. License Restrictions

The following uses are strictly prohibited:

Reselling or redistributing the files: You may not resell, lease, lend, sublicense, or otherwise transfer the audio files — in whole or in part — to any third party;
Repackaging as sample packs: You may not repackage, rebundle, or redistribute the sounds as your own sample kit, soundpack, or audio product for sale or free distribution;
Standalone distribution: You may not upload, share, or distribute individual sounds or loops from the product as standalone audio files on any platform (including but not limited to sample-sharing sites, cloud storage, torrent sites, or file-hosting services);
Claiming authorship of the sounds: You may not represent the included sounds or audio content as your own original sound design work;
AI training: You may not use the licensed content to train, fine-tune, or develop machine learning or artificial intelligence models of any kind.

Any breach of these restrictions automatically terminates your license with immediate effect.

5. Ownership and Intellectual Property

All audio content, design, branding, and associated materials sold or distributed by prodbyries remain the exclusive intellectual property of prodbyries. Purchase of a product does not transfer ownership, copyright, or any intellectual property rights to the buyer.

You are granted a license to use the content as described in Section 3. Nothing in these Terms transfers any ownership right to you.

6. Free Products

Free products distributed by prodbyries are subject to the same license terms set out in Sections 3 and 4. The absence of a purchase price does not waive any of the restrictions stated in Section 4.

7. Acceptable Use

You agree not to use any prodbyries product or service:

In violation of any applicable law or regulation;
To create content that is defamatory, obscene, discriminatory, or otherwise unlawful;
In any way that infringes the intellectual property rights of third parties.

8. Disclaimer of Warranties

Products are provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. We do not warrant that:

The products will meet every specific creative or technical requirement you may have;
The products will be compatible with all digital audio workstations (DAWs) or software environments;
Access to download links will be uninterrupted or error-free in all cases.

9. Limitation of Liability

To the maximum extent permitted by Polish and EU law, prodbyries shall not be liable for:

Any indirect, incidental, consequential, or special damages arising from your use of our products or store;
Any loss of data, loss of revenue, or loss of business opportunity;
Any damages resulting from your failure to comply with these Terms.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid for the specific product giving rise to the claim.

Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

10. Modifications to Terms

We reserve the right to update or modify these Terms at any time. The "Last updated" date at the top of this document will reflect any changes. Your continued use of our store or products after changes are posted constitutes your acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Poland and applicable European Union regulations. Any disputes arising from or relating to these Terms or your use of our products shall be subject to the exclusive jurisdiction of the competent courts of Poland.

If you are a consumer residing within the EU, you also retain the benefit of any mandatory consumer protection provisions that apply in your country of residence and which cannot be contractually excluded.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
